This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you (either an individual or a single entity) and TimeSage ("the Software") for the use of the TimeSage application ("App"). By installing, accessing, or using the App, you agree to comply with the terms and conditions set forth in this Agreement. If you do not agree to these terms, do not install, access, or use the App.
TimeSage grants you a non-exclusive, non-transferable, revocable license to use the App solely for personal, internal business, or educational purposes, and in accordance with the terms of this Agreement. You may install and use the App on any device you own or control, provided you comply with the terms and conditions outlined in this Agreement.
You may not:
TimeSage does not collect, store, or transmit any personal or time-tracking data to any external servers or entities. All data queried and processed by TimeSage is handled entirely on your device. You are solely responsible for the security and integrity of the data within your JIRA instance and any data you choose to download or access using TimeSage.
TimeSage is provided "as is" without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TimeSage does not guarantee that the App will meet your specific requirements or that it will function uninterrupted or error-free.
By using TimeSage, you acknowledge and agree that TimeSage, its developers, and any affiliates or related parties shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of data, time, profits, or other intangible losses, arising from or related to the use of or inability to use the App, even if TimeSage has been advised of the possibility of such damages.
TimeSage does not assume any responsibility for any issues related to your JIRA instance, including but not limited to downtime, lost data, or any technical issues that arise during the use of the App. You are solely responsible for ensuring that your JIRA account and data are secure and backed up appropriately.
TimeSage integrates with JIRA for querying and processing time-tracking data. TimeSage does not control or endorse any third-party services, including JIRA. Any issues arising from the use of JIRA or other third-party services are not the responsibility of TimeSage. You acknowledge that your use of JIRA and related third-party services is governed by their respective terms of service and privacy policies.
This Agreement is effective until terminated by either party. You may terminate this Agreement by uninstalling the App. TimeSage may terminate this Agreement at any time, with or without cause, by providing notice to you. Upon termination, you must immediately cease all use of the App and uninstall it from all devices. Any provisions of this Agreement that, by their nature, should survive termination, shall survive, including but not limited to, disclaimers, limitations of liability, and indemnification.
You agree to indemnify, defend, and hold harmless TimeSage, its developers, affiliates, and related parties from any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of this Agreement, or your infringement of any third-party rights.
TimeSage may, from time to time, release updates or modifications to the App. These updates may be installed automatically or require manual installation, depending on your device settings. You acknowledge that TimeSage has no obligation to provide any updates or modifications, and that updates may alter or modify the functionality of the App without prior notice.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which you reside, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved in the courts located in your jurisdiction, and you consent to the exclusive jurisdiction of such courts.
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
This Agreement constitutes the entire agreement between you and TimeSage regarding the use of the App and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
By installing, accessing, or using TimeSage, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
